Agreement to the Terms and Conditions

By accessing, browsing, or otherwise using Sporahub.com, you explicitly and unconditionally agree to be bound by the comprehensive terms, conditions, and stipulations outlined in all our governing policies.

  • Acceptance and Consent: Your use of sporahub.com constitutes a legally binding agreement to these terms. If you do not agree with any part of these terms and conditions, you must immediately cease accessing and using our services.
  • Modifications and Revisions: Sporahub.com reserves the sole and absolute right to update, modify, revise, or completely replace any clauses within these terms and conditions as our business operations evolve and market dynamics change.

  • Implied Consent: The modified terms and conditions will be considered accepted and agreed upon by both customers and vendors unless they formally object to the changes in writing within a two-week (14 calendar days) period following the receipt of the notice. Continued use of the platform after this period signifies full acceptance of the revised terms.
  • Vendor Terms Exclusion: Any terms and conditions unilaterally provided by individual vendors are expressly excluded from this overarching agreement, unless Sporahub.com provides explicit, written agreement to adhere to such vendor-specific terms.

Registration and Account Management
To utilize the full range of Sporahub.com services, users must create either a customer or vendor account.

  • Account Creation: Registration requires the use of preferred login credentials (email address and password) or existing social media login credentials via our website or dedicated applications.
  • Age Requirement: By creating an account, you legally confirm and accept that you are eighteen (18) years of age or older. Accounts for individuals under the age of 18 are strictly prohibited.
  • Account Security and Confidentiality: You are fully responsible for the security and confidentiality of your account login credentials and/or any other authentication methods. You must notify Sporahub.com in writing immediately upon becoming aware of any potential or actual breach of your account security to allow for effective mitigation and remediation.
  • Personal and Business Use: Accounts are granted exclusively for your personal use or your defined business use. You are solely liable for any damages, losses, or issues arising from any negligence in protecting your login credentials or from your browsing and transactional behaviors on the platform.

Account Verification and Security:

  • Vendor Verification: Vendor accounts undergo a necessary verification process, typically initiated by a one-time PIN (OTP) sent to the vendor’s registered email address. This step is mandatory to ensure the legitimacy of our business partners.
  1. Vendor Obligations and Responsibilities

Vendors are integral partners to Sporahub.com and must adhere to a strict set of obligations:

  • Legal Guarantees: Vendors warrant that they are not currently subject to any ongoing criminal, bankruptcy, or tax proceedings, nor are there any outstanding penalties or legal restrictions related to the products they list and sell through the platform. The vendor is obligated to notify Sporahub.com immediately should any of these situations arise.
  • Regulatory Compliance: Vendors agree to fully subject their business to the verification processes established by Sporahub.com, its third-party service providers, and to comply with all jurisdictional regulatory requirements applicable to their business and products.
  • Access to Support: Vendors are strongly encouraged to utilize the resources available in the Vendor Help Center for guidance and support.
  1. Product Listings and Descriptions

Vendors bear the exclusive responsibility for the content, accuracy, and compliance of their product listings.

  • Listing Management: Vendors are solely responsible for creating and maintaining all product listings on sporahub.com. Support and information are available through the Vendor Central or by contacting the site administration for assistance.
  • Required Product Information: Vendors must provide all necessary, accurate, and complete information for every listed product, including:
    • Title and Subtitle
    • High-Quality Picture(s)
    • Comprehensive Description
    • Price
    • Available Quantity (Inventory)
    • Shipping and Return Policy Details
    • Any other required regulatory information.
  • Accuracy and Representation: Vendors must strictly adhere to the product listing information provided and must never misrepresent their products in any manner. Any changes to the information of an uploaded product listing must be promptly communicated to Sporahub.com.
  • Legal and Copyright Compliance: Vendors guarantee that their product listing information fully satisfies all regulatory requirements, including customer protection laws, and that it does not infringe upon any intellectual property rights or copyrights of third parties.
  1. Inventory Management and Order Fulfillment
  • Up-to-Date Inventory: Vendors are responsible for maintaining an accurate, up-to-date inventory count for all listed products. Repeated occurrences of “sold-out” stock for products marked as available may result in the temporary or permanent removal of the listing from sporahub.com.
  • Order Processing and Logistics: Vendors must process all orders and arrange logistics for delivery with all practically reasonable care and diligence. This responsibility continues until the vendor receives a final confirmation of sale from Sporahub.com (signifying the close of the return/dispute window).
  • Binding Timelines: The delivery options (logistics providers) and estimated dates of delivery specified on the vendor’s listing are binding commitments. All orders must be fulfilled within these advertised timelines.
  • Customer Data Handling: Vendors are subject to the Privacy Policy and Acceptable Use Policy when interacting with customers and utilizing customer information during the process of order fulfillment and transaction management.
  1. Sporahub.com’s Role and Scope of Service

Sporahub.com acts exclusively as a technology platform and marketplace facilitator.

  • Platform Provision: We provide a sophisticated digital platform to facilitate business-to-business (B2B) and business-to-consumer (B2C) transactions between independent vendors and customers.
  • Non-Involvement in Sales Contract: Sporahub.com is neither the seller nor the buyer in any transaction. Our core services are strictly limited to:
    • Referring customers to vendors via the sporahub.com platform.
    • Accepting and processing orders and payments on the vendors’ behalf.
  • Exclusions from Service: Our services explicitly do not include:
    • Acting as a fiduciary or trustee for either the buyer or the merchant.
    • Mediating disputes, conflicts, or disagreements between buyers and merchants.
    • Enforcing or executing the performance of any sales contract between the two parties.
  • Right to Terminate for Performance: Notwithstanding the role exclusion, Sporahub.com reserves the right to terminate its relationship with vendors who demonstrate a pattern of:
    • Repeatedly receiving poor reviews or negative feedback.
    • Failing to resolve customer disputes and/or complaints in a timely and satisfactory manner.
    • Non-compliance with all applicable legal and platform requirements.
  1. Financial Terms, Fees, and Payment ProcessingA. Fee Structure and Commission Rates
  • Vendor Fees: Vendors agree to pay an annual subscription fee (which may be subject to promotional discounts) and a percentage-based commission levied on the gross revenue generated from their sales made through sporahub.com. The commission rate varies depending on the product category.
  • Commission Adjustments: Sporahub.com reserves the right to adjust the percentage commission rates, provided suitable written notice is served to the vendor in advance of the change taking effect.
  • Optional Paid Advertisements: Vendors have the option to purchase additional paid advertisement opportunities on sporahub.com as part of an enhanced sales and marketing strategy for their business.
  1. Payment and Fees Processing
  • Payment Gateway: All customer e-payments are processed securely through our designated payment gateway providers.
  • Vendor Payout Schedule: Customer e-payments are typically released to vendors within a timeframe of 4 to 10 business days following the customer’s receipt of the products. This release is strictly conditioned upon the customer not initiating a dispute resolution or a return process within that window.
  1. Returns and Refunds Policy
  • Vendor Responsibility: On sporahub.com, vendors are solely responsible for fulfilling and shipping their own inventory. Consequently, vendors must establish and manage provisions for all product returns to be sent directly to their designated return address.
  • Display of Policy: The specific return policy of the individual vendor must be clearly and prominently displayed in the designated Return and Refunds Policy section on the vendor’s profile page.
  • Response Time: Vendors are generally encouraged to respond to all customer return requests within 24 hours.

Mandatory Vendor Return Obligations:

  • Payment Withholding Acknowledgment: All vendors must acknowledge and agree that payments for their products will be withheld for the total shipping/delivery time plus an additional 8 business days. This essential buffer period is mandated to allow customers adequate time to receive the product and make an informed decision to either keep the product or initiate a return and refund request.
  • Return Address Provision: Vendors must provide a clear and current return address with every purchase/shipment.
  • Return Shipping Costs: Vendors may or may not refund the costs incurred by the customer for the return shipment, provided that this condition is explicitly and clearly stated to the customer before the purchase of that particular product. If not explicitly stated otherwise, the vendor is expected to cover or refund return shipping costs for defective or misrepresented items.
  • Full Refund Guarantee: Vendors must offer a full refund to the customer immediately upon successful verification of the return (e.g., confirmation of receipt through the shipper’s tracking system).
  1. Shipping and Logistics Registration
  • Shipping Flexibility: As a vendor, you have the option to utilize Sporahub’s default shipping option(s) or select any other third-party shipping carrier of your choice.
  • API Requirement: Regardless of the chosen shipper, you are required to register an account with your preferred shipper and obtain a unique Application Programming Interface (API) key.
  • API Integration: This unique API must be connected to your sporahub.com webstore to ensure seamless fulfillment and tracking.
  • Required Shipping Information (Non-Default Shippers): Should you choose a shipper outside of Sporahub’s default options, you are still required to provide the following critical shipping information for every single order:
    • Live shipping cost estimate.
    • Estimated date of delivery.
    • Tracking information (link or number).
  • International Shipping Restrictions: Vendors have the option to restrict the shipment of their products to a select list of international countries. If this restriction is applied, it is mandatory that this information is clearly stated on the product listing to ensure the webstore is correctly configured to filter customer orders accordingly during the checkout process.
  1. Liability and Indemnification
  • Vendor Indemnification: Vendors hereby agree to indemnify and hold harmless Sporahub.com from any and all claims, damages, liabilities, and expenses arising in relation to matters outside Sporahub.com’s direct control. This explicitly includes, but is not limited to:
    • Issues concerning the quality, safety, or merchantability of goods and services provided by vendors.
    • Any third-party claims resulting from a vendor’s violation of applicable laws, regulations, or third-party rights.
  • Platform Service Guarantee: While there is no absolute guarantee that Sporahub.com’s service will be entirely free from any malfunction or downtime, Sporahub.com commits to exhausting all necessary resources and avenues to promptly resolve any such technical issues that may arise.
  1. License and Intellectual Property
  • Platform Rights to Content: Sporahub.com retains the full right to freely maintain, edit, modify, or delete any vendor’s listing, ranking, customer reviews, and customer ratings of a vendor’s listing across its website and any associated online platforms.
  • Vendor Grant of License: Vendors hereby grant to Sporahub.com a royalty-free, perpetual, and unrestricted license to use, scan, transcribe, distribute, reproduce, and publish vendor listings and any provided promotional materials, exclusively for the purpose of advertising and promoting Sporahub.com and its marketplace services.
  1. Terms and Termination
  • Agreement Commencement: This agreement becomes legally valid upon the vendor registering an account and/or fulfilling the first order referred by sporahub.com.
  • Duration: The agreement remains valid indefinitely until formally terminated by either the vendor or Sporahub.com.
  • Termination by Notice: Either party may terminate this agreement at any time by providing a one-month (30 calendar day) written notice. Notice can be delivered via email, post, or fax. Revenues generated during this one-month notice period remain fully subject to the terms of this partnership agreement.
  • Immediate Termination by Sporahub.com: Sporahub.com reserves the right to immediately terminate this agreement, without the one-month notice period, if a vendor is found to be:
    • Unable to provide adequate justification for repeated poor customer ratings and reviews resulting from issues such as poor product quality, deficient service delivery, or demonstrated negligence.
    • Repeatedly providing misleading information or deliberately withholding essential information required for accurate product listings.

Applicable Law

By using sporahub.com, you irrevocably agree that these terms and conditions, all associated policies, and any dispute of any sort that may arise between you and Sporahub.com will be governed by and construed in accordance with applicable Canadian federal law and the laws of the Province of Alberta, Canada, without regard to principles of conflict of laws.
